Can I form a one person corporation?

1.  Yes.  One person can act as stockholder, officer and director.

Will the names of stockholders be a matter of public record?

2.  No.  The stockholders are not disclosed to the State of Delaware.  Once a year the names and addresses of the Directors and Officers are disclosed in the Annual Franchise Tax Report which is available to the public.  For an LLC neither the owners nor the officers are disclosed.

Do I need to have an office in Delaware?

3.  No.  A Delaware corporation can operate anywhere in the world and does not have to have a business office in Delaware.  The corporation does need a Registered Agent and Registered Office in Delaware to receive papers from the State of Delaware.  Similex Incorporated provides this service for a modest annual fee.  Similex waives that fee for the year in which your business is incorporated.

Will the corporation have to pay income taxes?

4.  You will need to get professional accounting, tax and legal advice.  Generally if the corporation has no income in the State of Delaware, then no income tax is due or payable.  There is an Annual Franchise Tax.  Most corporations qualify for the minimum annual charge of $60 including the filing fee.

How long will it take to get incorporated?

5.  Your corporation will be on record with the State of Delaware no later then the next business day after your order is complete.  Frequently it will be on record on the same day that you call or send your order.

How about an LLC or Limited Liability Company?

6.  Similex Incorporated can form an LLC for the same low price as an incorporation and have it on record just as quickly.
